Terms and Conditions

These Terms and Conditions ('Agreement') govern the use of the SaaS services provided by Scope LLC DBA Digital Logistics Solutions LLC('Company', 'We', 'Us', or 'Our'). By using our services, you ('User','Customer') agree to these terms.

1. Definitions

a) 'Services' refers to the conversion of PDF and Excel data into XML for automated transmission and the receipt and storage of PDF documents for archival purposes.

b) 'User' refers to any business entity that subscribes toor engages with our services.

c) 'Agreement' refers to these Terms and Conditions, including our Privacy Policy and Service Level Agreement (SLA).

2. Services

We provide services that convert PDF and Excel data into XML for automatic transmission and store PDF documents for archival purposes. Users are responsible for the accuracy of input data and legal compliance.

3. Subscription & Payment Terms

a) Our services are offered on a subscription basis and project-based service model.

b) By accepting a quote, the User commits to a one-year service term, renewable annually.

c) Cancellations require a three-month prior notice after the one-year commitment period.

d) Late payments exceeding 45 days may result in late fees and suspension of services until outstanding amounts are settled.

e) Refunds are considered on a case-by-case basis.

4. User Responsibilities

a) Users are responsible for ensuring the accuracy and legality of data converted using our services.

b) Users must comply with applicable regulations, including GDPR.

c) Users must ensure their account remains in good standing to prevent service interruptions.

5. Service Level Agreement (SLA) & Uptime

We provide service availability and uptime guarantees as perour SLA. Users should review the SLA for further details on system availability, support, and maintenance schedules.

6. Limitation of Liability

a) The Company is not responsible for any errors in data conversion, XML generation, or document storage failures.

b) We do not guarantee uninterrupted or error-free service and disclaim all liability for losses resulting from service unavailability or inaccuracies.

c) Our liability is limited to the amount paid by the User for the service during the 12 months preceding the claim.

7. Termination & Suspension

a) Users may cancel their subscription after completing the one-year commitment period with three months' prior notice.

b) We reserve the right to suspend or terminate services due to late payments exceeding 45 days.

c) Services will be reactivated once outstanding payments are settled.

8. Governing Law & Dispute Resolution

a) This Agreement is governed by the laws of the State ofWashington, USA.

b) Any disputes shall be resolved through litigation in the courts of Washington State.

9. Amendments

We reserve the right to update these Terms and Conditions.Users will be notified of significant changes, and continued use of services constitutes acceptance of the revised terms.
